Seems like a work around of the rules and comes across shady to many of us. Basically if you are running an open team no player from that team can join your original team as long as you run the open team." Does it work the other way round?

Should the Clippers still be proxying the Wizards if the Wizards own the Clippers 1st Round Picks?
I means he's tearing down the Clippers (his team). To potentially send a lotto pick to the Wizards (his proxy team). Isn't that a conflict of interests?

I understand why he is trying to tear it down, since it is not working. But without his 2 firsts and them being to his proxy team, although they were acquired before he took them over, still seems a little fishy

It's not about anything being fishy. It's just the situation itself presents a conflict of interests.
For example if you own the Orlando Magic 1st Round Pick. And then you become the proxy GM for Orlando. And you start making their roster worse/increasing the value of their pick (which you own). That would be pretty messed up right?
So how do you avoid that? By not allowing such a situation to exist. Not allowing you to proxy Orlando. Right? So shouldn't the same logic apply in reverse?
